• This Agreement applies to all activities conducted on the Website.

• "User": Any individual who registers and uses the services of the Website.
• "Service": All AI communication advices-related services and content provided by the Website.
• "Simulator Feature": The functionality that allows users to practice communication with simulated entities based on uploaded information.

• User Eligibility: Users must be at least 18 years old and have full civil capacity.
• Registration Information: Users must provide true, accurate, and complete registration information. If any information changes, it should be updated promptly.
• Account Security: Users are responsible for maintaining the confidentiality of their account and password and are fully responsible for all activities that occur under their account.
• Account Use: Accounts are for personal use only and may not be transferred or authorized for use by others.
• Account Suspension: The Website reserves the right to suspend or terminate accounts that violate this Agreement or engage in suspicious activities.
• Multiple Accounts: Users are not permitted to create multiple accounts without explicit permission from the Website.

• Service Content: The Website provides various functions and services related to AI communication advices.
• Service Changes: The Website reserves the right to change, suspend, or terminate part or all of the services at any time without prior notice.
• Service Interruption or Termination: The Website is not responsible for any interruption or termination of services caused by force majeure or other reasons.
• Service Quality: While we strive to provide high-quality services, the Website makes no warranties about the reliability or accuracy of AI-generated content.
• Usage Limits: The Website may implement reasonable usage limits or restrictions to ensure fair use of the services.
• Simulator Feature: The Website provides a simulator feature that allows users to practice communication with simulated entities and receive AI coaching. Users may upload relevant information to enhance the realism of the simulation but must ensure all uploaded content complies with this Agreement and applicable laws. The Website reserves the right to modify, restrict, or terminate the simulator feature at any time without prior notice.

• Legal Use: Users must use the Website legally and refrain from any illegal or improper behavior.
• Prohibited Actions: Users are prohibited from using the Website to disseminate illegal, false, or harmful information, and from engaging in any behavior that interferes with or disrupts the normal operation of the Website.
• User Responsibility: Users are responsible for their actions on the Website and bear all consequences of violating this Agreement.
• Simulator Feature Usage Standards: When using the simulator feature, users must comply with all applicable laws and regulations, including but not limited to privacy laws, intellectual property laws, and data protection laws. Users must not upload unauthorized third-party personal information or use the simulator feature in any way that may infringe upon the privacy rights, personality rights, or intellectual property rights of others. Users confirm that any third-party materials uploaded are solely for personal learning and communication skills improvement purposes and must not be used for harassment, fraud, impersonation, or any other improper purposes.

You acknowledge and agree that:

• Bots on ChatVisor should not be relied upon during emergencies; bots may claim to perform actions for you in the real world but may have not taken any action besides responding to you.
• Bots on ChatVisor may not generate accurate information and information provided may be out of date. You should independently verify responses or advice provided by any bots on ChatVisor.
• Bots on ChatVisor are subject to modification and alteration, and may contain errors, design flaws, or other issues.
• Bots on ChatVisor may result in unexpected results, loss of data or communications, or other anticipated or unanticipated damage or loss to you.
• Bots on ChatVisor may not operate properly, be in final form, or be fully functional; your access to ChatVisor is not guaranteed and bots on ChatVisor are provided on an AS IS basis.
• You acknowledge that any AI-generated content may be monitored and reviewed for compliance with our policies.
• You understand that ChatVisor is not a substitute for professional advice (medical, legal, financial, etc.).
• Regarding the simulator feature, you acknowledge and agree that:
  • Content generated by the simulator is merely a simulation based on the information you provide and does not represent the actual views, attitudes, or behaviors of real individuals.
  • Any third-party information you upload (including but not limited to social media profiles, company information, etc.) should be legally obtained and that you have the right to use such information.
  • You bear full responsibility for the legality and appropriateness of the content you upload, and ChatVisor is not responsible for any disputes or losses arising from your uploading or use of such content.
  • You will not use the simulator feature to deceive others, improperly obtain information from others, or for any purpose that may infringe upon the rights of others.
  • Content generated by the simulator is for learning reference only and should not be viewed as an accurate reflection or official position of real individuals or organizations.

• User Privacy: The Website respects and protects user privacy. The Privacy Policy is established separately; see the "Privacy Policy" for details.
• Information Use: Users agree that the Website may use their provided information within the legal limits.
• Data Collection: The Website collects and processes user data as described in our Privacy Policy, including but not limited to usage data, chat logs, and technical information.
• Data Security: While we implement reasonable security measures, we cannot guarantee absolute security of user data.

• Billing: If you purchase any Services, you will provide complete and accurate billing information, including a valid payment method. For paid subscriptions, we will automatically charge your payment method on each agreed-upon periodic renewal until you cancel. You're responsible for all applicable taxes, and we'll charge tax when required. If your payment cannot be completed, we may downgrade your account or suspend your access to our Services until payment is received.
• Cancellation: You can cancel (opens in a new window) your paid subscription at any time. Payments are non-refundable, except where required by law. These Terms do not override any mandatory local laws regarding your cancellation rights.
• Changes: We may change our prices from time to time. Any price increase will take effect on your next renewal so that you can cancel if you do not agree to the price increase.
• Understanding Unlimited Usage: The ChatVisor Plus plan offers unlimited messages and chats. However, usage must be reasonable, which prohibits, among other things:
  • Abnormal or abusive usage, such as automatically or programmatically extracting data.
  • Sharing your account credentials or making your account available to anyone else.
  • Reselling access or using ChatVisor to power third-party services.

  We have guardrails in place to help prevent misuse and are always working to improve our systems. This may occasionally involve a temporary restriction on your usage. We will inform you when this happens, and if you think this might be a mistake, please reach out to us. If policy-violating behavior is not found, your access will be restored.

• User Termination: Users may cancel their accounts and stop using the Website's services at any time.
• ChatVisor Termination: The Website reserves the right to terminate user accounts or restrict access without notice. We reserve the right to suspend or terminate your access to our Services or delete your account if we determine:
  • You breached these Terms
  • We must do so to comply with the law.
  • Your use of our Services could cause risk or harm to ChatVisor, our users, or anyone else.

  We also may terminate your account if it has been inactive for over a year and you do not have a paid account.

• Intellectual Property Ownership: All content on the Website is owned by ChatVisor and may not be used without authorization.
• User Content: By posting content on the Website, users grant the Website a worldwide, royalty-free, non-exclusive right to use, reproduce, modify, publish, and display such content.
• Intellectual Property Infringement Complaints: If users believe their intellectual property rights have been infringed, they should contact the Website's customer service.
• AI-Generated Content: The ownership and usage rights of AI-generated content through our services shall be governed by our specific terms and policies.
• Simulator Content and User Uploaded Information: For information uploaded to the simulator feature, users must ensure they possess the necessary rights or authorization. Users grant ChatVisor a non-exclusive, global, royalty-free license to use, process, and analyze uploaded information for the purpose of providing simulator services. ChatVisor does not claim ownership of third-party content uploaded by users but reserves the right to remove such content to comply with laws and regulations, protect platform security, or prevent misuse. Users agree to indemnify and hold ChatVisor harmless from any claims, damages, liabilities, costs, or expenses resulting from content uploaded by users that infringes upon third-party rights.

• Service Availability: The Website does not guarantee the continuous availability or accuracy of the services.
• Third-Party Links: The Website may contain links to third-party websites, and the Website is not responsible for the content of third-party sites.
• Limitation of Liability: The Website is not liable for any indirect, incidental, special, or consequential damages arising from the use of the Website's services.
• Simulator Feature Disclaimer: ChatVisor does not guarantee that the behavior simulated by the simulator feature aligns with that of real individuals or organizations. Users understand and accept that the simulator feature generates content based only on limited information provided and cannot truly reflect the thoughts, behaviors, or reaction patterns of actual individuals or organizations. ChatVisor is not responsible for any misunderstandings, communication failures, or other negative outcomes resulting from the use of the simulator feature. ChatVisor is not responsible for the accuracy, legality, or appropriateness of any third-party information uploaded by users through the simulator feature. Users agree to assume all risks associated with using the simulator feature and agree not to use ChatVisor as a tool for impersonating others, obtaining improper benefits, or engaging in any illegal or infringing activities.

• This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions.
• Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco, California, United States of America.
• Users hereby consent to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction by such courts.
• This choice of law and jurisdiction clause shall not deprive users of their mandatory consumer protection rights under the laws of their country of residence, where applicable.
• In the event that any dispute arises:
  • Both parties agree to first attempt to resolve any dispute through informal negotiations
  • If informal negotiations fail, the dispute shall be resolved through binding arbitration in San Francisco, California
  • The arbitration shall be conducted in English
  • The arbitration shall be administered by JAMS under its Comprehensive Arbitration Rules
  • The award rendered by the arbitrator shall be final and binding on the parties
• Class Action Waiver: Users agree to resolve disputes with ChatVisor on an individual basis, and hereby waive any right to participate in any class action lawsuit or class-wide arbitration.

• Modifications and Updates: The Website reserves the right to modify this Agreement at any time. The updated Agreement will take effect immediately upon posting.
• Notifications: The Website may send notifications to users via email or public announcement.
• Entire Agreement: This Agreement constitutes the entire agreement between the parties regarding the use of the Website's services, superseding any prior written or oral agreements.
• Severability: If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Assignment: Users may not assign any rights or obligations under this Agreement without the Website's written consent.
